Terms and Conditions

The following terms and conditions apply to the use of the online versions of Equal Opportunities Review and Equality Law Reports and to the sale of publications by Michael Rubenstein Publishing Limited.

A.   Equality Law Reports -Special Terms of Use

The following terms and conditions apply to your use of Equality Law Reports ("the Reports") and the materials and information they contain ("Materials"). By purchasing the right to use the Reports you agree to these terms and conditions. References to "the Publisher" are to Michael Rubenstein Publishing Ltd. References "the Subscriber" are to the person or organisation who takes out a subscription to the Reports in exchange for payment at the agreed rate.


1.     A subscription to Equality Law Reports

1.1   A subscription to Equality Law Reports will consist of:

1.1.1   Twelve monthly issues of the Reports in Adobe Acrobat PDF format emailed to an email address to be specified by the subscriber; and

1.1.2   A licence to the online Services as defined in section B below and subject to the terms of use outlined in section B below; and

1.1.3   Subject to payment of an additional subscription fee, a print copy of the monthly issue to be posted to an address to be specified by the subscriber.

1.2   A subscription to Equality Law Reports may consist of multiple users upon payment of an additional subscription fee. In such a case the twelve monthly issues of the Reports in Adobe Acrobat PDF format will be mailed to multiple email addresses the number of which will correspond to the number of multiple users paid for in the subscription.


2.     Use of the monthly Adobe Acrobat PDF issue

2.1   In every subscription the use of the monthly Adobe Acrobat PDF issue ("the PDF") shall be restricted to a single authorised user whose email address has been supplied by the Subscriber to the Publisher upon taking out the subscription.

2.2   The Subscriber may at from time to time request that the name and or email address of the single authorised user be changed to another single authorised user.

2.3   Where a subscription consists of multiple users the provisions of paragraph 2.1 apply with respect to each of the users in that subscription.

2.4   Use of the PDF shall be subject to the authorised user downloading a piece of software ("the plugin") which regulates use of the PDF. The plugin can be installed from: http://plugin.fileopen.com/. (Adobe Acrobat or Adobe Reader is also required and can be installed from: http://www.adobe.com/products/acrobat/readstep2.html.)

2.5   Failure to download the plugin will result in the user being unable to access the contents of the PDF.

2.6   Restrictions on use of the PDF shall include:

2.6.1   The PDF may only be opened on one computer terminal.

2.6.2   The PDF is not to be saved in its entirety or in part to another file.

2.6.3   The PDF is not to be copied in its entirety or in part.

2.6.4   The PDF is not to be saved in its entirety or in part to another file.

2.6.5   The contents of the PDF are not to be captured in their entirety or in part by way of system screen shots or similar.

2.6.6   Except so far as is reasonable for the needs of the authorised user the PDF is not to be printed for use by or distribution to anyone other than the authorised user.


3.     Other terms of use for Equality Law Reports

Terms of use for the online Services of Equality Law Reports are set out in section B below.

 

B.   Equal Opportunities Review Online and Equality Law Reports Online - Terms of Use

The following terms and conditions apply to your use of Equal Opportunities Review online and/or Equality Law Reports online ("the Services" which shall mean one or both  as the context requires) and the materials and information they contain ("Materials"). By purchasing the right to use the Services you agree to these terms and conditions. References to "the Publisher" are to Michael Rubenstein Publishing Ltd. References to "the Subscriber" are to the person or organisation who takes out a subscription to the Services in exchange for payment at the agreed rate.


1.      Licence

1.1   General licence:

1.1.1   Each subscriber to the print edition of Equal Opportunities Review ("the Journal") shall be entitled to one concurrent user site licence per subscription (a "General licence"), except where a subscription consists of more than one copy of the Journal in which case the subscriber shall be entitled to one concurrent user site licence per copy of the Journal.

1.1.2   Each subscriber to Equality Law Reports ("the Reports") shall be entitled to one concurrent user site licence per subscription (a "General licence"), except where a subscription consists of more than one copy of the Reports in which case the subscriber shall be entitled to one concurrent user site licence per copy of the Reports.

1.1.3   Each concurrent user site licence is defined as one branch or office of the subscriber's company or organisation.

1.1.4   A licence shall be deemed to be a General licence unless the Publisher has expressly agreed to the grant of an Academic licence.

1.2   Academic licence:

1.2.1   The publisher may agree to grant a licence to an institute of Higher education or a further education college (an "academic institution") for the purposes only of academic study and research (an "Academic licence"). An Academic licence is expressly not for the use of officers or employees of an academic institution for purposes connected with the day-to-day management of the academic institution.

1.2.2   Each subscriber to the Journal or the Reports who also holds an Academic licence shall be entitled to five concurrent user site licences per subscription, except where a subscription consists of more than one copy of the Journal or the Reports in which case the subscriber shall be entitled to five concurrent user site licences per copy of the Journal or the Reports.

1.2.2   Each concurrent user site licence is defined as one campus of the subscriber's company or organisation.

1.3   For the purposes of these terms and conditions the expressions "you" and "your" refer to the company or other organisation which has a subscription to the Journal or the Reports or to any individual user within that company or other organisation as the context requires.


2.      Use of Services

You may use the Services and the Materials that appear on the Services from time to time for your own private or business research, and for this purpose you may:

2.1   display the Materials on screen,

2.2   make single printouts of individual items using the printing commands of the web browser, and

2.3   download and store in machine readable form for no more than ninety (90) days a single copy of insubstantial portions of the Materials included in a particular file, primarily for one person's exclusive use.


3.      Restrictions on Use

3.1   You may not:

3.1.1  make multiple printouts or copies of Materials for distribution to others except where permitted in the Materials themselves,

3.1.2  re-sell the Services or any part of the Materials to others,

3.1.3  make the Services or any Materials available on a local area network, a wide area network or on any intranet or extranet,

3.1.4  download, store, reproduce, transmit, display, copy, distribute or use the Materials other than as permitted by paragraph 1 above.

3.2   Any other use requires prior written consent from the Publisher.


4.      Passwords and Security

4.1   Your password is for your own personal use and you may not make it available to others for the purpose of using the Services, except for the purposes of your General licence or Academic licence, as applicable. If the Publisher suspects that your password is being used by an unauthorised person the Publisher may cancel your password.

4.2   The Publisher may suspend your access to the Services at any time without compensation if the Publisher suspects, on reasonable grounds, that you have breached these terms and conditions.


5.      Content

5.1   Materials and features may be added to and removed from the Services without notice.

5.2   The Materials and information included in the Services are provided for reference purposes only. They are not intended either as a substitute for professional advice or judgment or to provide legal or other advice with respect to particular circumstances.

5.3   Every effort is made to keep Materials up to date but users are advised to obtain independent verification or advice before relying on any piece of information in circumstances where loss or damage may result.

5.4   The Services and Materials are provided on an ‘as is' basis and the Publisher excludes to the extent permitted by law all implied as warranties relating to fitness for a particular purpose.


6.      Intellectual Property Rights

6.1   All intellectual property rights and other rights in the Services and Materials (in both machine readable and printed form) belong to the Publisher or its third party licensors. You acquire no proprietary interest in the Services or Materials and except as expressly permitted by these terms and conditions you may not use the Service or the Materials in any way that infringes the intellectual property rights in them.

6.2   You may not obscure or remove any copyright notices that appear on Materials printed from the Services.


7.      Limitation of Liability

7.1   The total aggregate liability of the Publisher in connection with your use of the Services or Materials (other than for death or personal injury caused by its negligence) shall not exceed your actual direct damages, excluding any loss of profit or loss of business.

7.2   The liability of the Publisher for interruptions to availability of the Services caused by circumstances within its control shall not exceed the amount you paid for access to the Services. The only obligation of the Publisher in respect of interruptions caused by circumstances outside its control shall be to use all reasonable efforts to have the Services reinstated. The Services contains links to external sites. The Publisher is not responsible for and has no control over the content of such sites. Information on the Services, or available via hypertext link from the Services, is made available without responsibility on the part of the Publisher. The Publisher disclaims all responsibility and liability (including for negligence) in relation to information on or accessible from the Services.


8.      Law and Jurisdiction

These terms and conditions shall be interpreted in accordance with the Laws of England and any dispute shall be subject to the exclusive jurisdiction of the English Courts.

C.   Michael Rubenstein Publishing - Terms & Conditions of Sale (General)

1.      General

1.1   These terms and conditions are incorporated into all orders for publications ("the Goods") supplied by Michael Rubenstein Publishing Limited ("the Supplier") except for software supplied under the terms of a software licence or where there is a prior written agreement between the Customer and the Supplier.

1.2   No variation to these terms and conditions shall be binding unless agreed in writing between the Supplier and the customer.

1.3   Goods delivered may differ in non-material respects from those advertised in the Supplier's catalogue or other promotional material.


2.      Price

2.1   Subject to paragraph 2.2 below the price payable for Goods shall be the total price plus, if applicable, any cost of packaging, postage and delivery as specified in the Supplier's current price list or catalogue, less any discount agreed in advance in writing by the Supplier.

2.2   The price is exclusive of Value Added Tax which the customer shall be additionally liable to pay to the Supplier.

2.3   Prices and delivery charges are subject to change without notice.


3.      Payment Terms

3.1   Unless otherwise agreed in writing by the Supplier all invoices are payable by the date for payment stated on the invoice in pounds sterling drawn on a bank based in the UK or by such other method as is agreed in advance by the Supplier.

3.2   Failure to pay all amounts due by the due date may result in: (a) withholding of further supplies including subscription supplies in respect of which the customer has made payment in full; and/or (b) charging of interest on amounts outstanding at the rate of 4% above the Bank of England base rate from time to time.


4.      Credit Terms

The Supplier may set and vary credit limits from time to time and withhold all further supplies if the customer exceeds such credit limit.


5.      Terms of Supply

Subscriptions run for a full year and no credit will be given for cancellations during the year.


6.      Delivery

6.1   Orders are accepted by the Supplier subject to availability of stock and may be delivered in two or more instalments. Time of delivery is not of the essence. The Supplier has no liability for any loss of trade or profit occurring to the customer as a result of delay in delivery or delivery of incorrect or faulty goods.

6.2   Delivery will be made to the business address of the customer or its agent or to a carrier designated by the customer. Delivery to an address in the UK or Eire is subject to such delivery charges, if applicable, as appear in the Supplier's price list or catalogue. Delivery outside the UK and Eire is at the cost and risk of the customer.

6.3   Risk in the Goods passes to the customer on delivery under paragraph 6.2 above. Title to Goods other than subscription products will pass to the customer on payment in full. Title in subscription items will pass on delivery.


7.      Online products

Delivery of online products is made using the World Wide Web. All warranties, express or implied, regarding the availability of any online product at any particular time or times are excluded.


8.      Loss or damage in transit
and claims for missing issues

8.1   Claims for damage or partial delivery must be notified within 30 (thirty) days of delivery.

8.2   Claims for missing issues must be made within three months of the date of publication of the issue being claimed. No claims will be fulfilled outside of this time period.


9.      Returns
and refunds

9.1   All Goods, unless otherwise agreed in writing by the Supplier, are supplied on a firm sales basis. Returns will not be accepted other than as agreed in accordance with the Supplier's Returns Policy in force at the time of the return.

9.2   Once an order has been accepted and paid for no refunds will be made in respect of the full term of the subscription or any part of that term except at the discretion of the Supplier in exceptional circumstances.


10.    Supplier's Liability

The Supplier's liability in all circumstances is limited to the cost of replacing the Goods ordered. It is not intended that any contract between the Supplier and the Customer for the supply of Goods should be enforceable by any third party.


11.    Free copies

The publisher reserves the right to refuse an application for a free copy.


12.    General

12.1  Any waiver by the Supplier of any of these terms and conditions shall be limited to the particular instance and shall not operate or be deemed to operate as a future waiver of that or any other term.

12.2  These terms and conditions and all other express terms and conditions of sale shall be governed and construed in accordance with the laws of England.

12.3    Notices set by the Customer must be sent by prepaid post to the Supplier at the address on the most recently delivered invoice. Such notices must state the customer's name and (where applicable) account number. Notices sent by the Supplier will be sent to the customer's last known address.

D.   Michael Rubenstein Publishing - Terms & Conditions of Sale (Book trade customers only)

Details of our terms and conditions relating to the sale and return of unsold Book trade stock are set out below. For the avoidance of doubt, the provisions of these terms and conditions do not apply to subscription sales of Equal Opportunities Review or any other subscription-based product sold by Michael Rubenstein Publishing.

1.      Trade customers can return unsold Michael Rubenstein Publishing stock for a period of up to twelve (12) months from the original Michael Rubenstein Publishing Ltd invoice date for that stock.

2.      No goods can be returned later than twelve (12) months from the invoice date, without prior written authorisation from our Chief Executive.

3.    Goods will not be accepted for credit if they have been Out of Print for more than three (3) months.

4.    Returned stock will only be accepted and credited by us if the above conditions are met, and if the stock is in a condition fit for re-sale.

5.    Any Michael Rubenstein Publishing stock returned that is damaged, defaced or not in a condition fit for re-sale, will be returned to the sender un-credited, with an explanatory letter.

6.    Customers will bear the cost of postage and packaging for all returned stock.

7.    Customers must quote their invoice number when returning goods.
